ProfitGuard Pro Terms of Service

1. Acceptance of terms

By installing or using ProfitGuard Pro, you agree to these Terms of Service ("Terms"). If you do not agree, do not use the app.

2. Service description

ProfitGuard Pro provides Shopify analytics features, including metric summaries, alerting, and periodic snapshot processing, to help merchants identify potential profit leakage signals.

3. Eligibility and account

You represent that:

• You have authority to install and use apps for the Shopify store
• Information provided is accurate
• You will maintain the security of your Shopify and related credentials

4. Billing and plans

ProfitGuard Pro offers subscription plans billed through Shopify:

• Free Trial: 14-day full access, no credit card required
• Growth: $19/month
• Advanced: $39/month
• Premium: $59/month

All charges are handled through Shopify's billing system. You may cancel at any time; access continues until the end of your current billing period. We do not issue refunds for partial months as per Shopify's billing policies.

We may update pricing or features with reasonable notice.

5. Permitted use

You agree to use ProfitGuard Pro only for lawful business purposes and not to:

• Attempt unauthorized access to systems or data
• Interfere with service operation
• Use the app to violate laws, regulations, or third-party rights

6. Shopify data and permissions

You authorize ProfitGuard Pro to access Shopify data permitted by approved scopes and your installation settings, solely for delivering app functionality and support.

7. Intellectual property

ProfitGuard Pro and its software, branding, and related materials are owned by us or our licensors. These Terms do not transfer ownership rights to you.

8. Third-party services

ProfitGuard Pro may rely on third-party infrastructure and tools. We are not responsible for outages or issues caused by third-party providers beyond our reasonable control.

9. Disclaimers

ProfitGuard Pro is provided on an "as is" and "as available" basis. Analytics and alerts are informational and do not constitute accounting, legal, tax, or financial advice.

10. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or lost profits/revenue arising from use of the app.

Our total liability for claims related to ProfitGuard Pro is limited to amounts paid by you for the app in the 12 months preceding the event giving rise to liability, unless law requires otherwise.

11. Indemnification

You agree to indemnify and hold us harmless from claims arising from your misuse of ProfitGuard Pro, violation of these Terms, or violation of applicable law.

12. Suspension and termination

We may suspend or terminate access if required for security, legal compliance, or material breach of these Terms. You may stop using the app at any time by uninstalling it from Shopify.

13. Changes to the service or terms

We may modify the service or these Terms from time to time. Material changes are effective when posted with an updated date, unless otherwise required by law.

14. Governing law

These Terms are governed by the laws of India, without regard to conflict-of-law principles, unless mandatory law requires otherwise. If you are a resident of another country, you may have additional rights under your local laws. We aim to comply with all applicable regulations, including GDPR (Europe), CCPA (California), and other regional requirements.
